Please read these terms carefully before using School Orbit ERP services.

These Terms and Conditions ("Terms") govern your use of School Orbit ERP platform, mobile applications, and related services ("Services") provided by ClickMaker IT Solutions LLP ("Company," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

1. Acceptance of Terms

By creating an account or using School Orbit, you represent that:

  • You are at least 18 years old and have the legal capacity to enter into binding contracts.
  • You have authority to bind the educational institution you represent to these Terms.
  • All information provided during registration is accurate, current, and complete.
  • You will maintain the accuracy of your account information.

2. License and Use Rights

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to:

  • Access and use the School Orbit platform for your institution's internal educational administration purposes.
  • Allow authorized users (staff, teachers, administrators) to access the platform under your account.
  • Use our mobile applications on authorized devices.

This license does not include the right to sublicense, resell, distribute, or transfer the Services to third parties.

3. User Responsibilities

As a user of School Orbit, you agree to:

  • Data Accuracy: Ensure all data entered into the system is accurate and up-to-date.
  • Account Security: Maintain the confidentiality of login credentials and notify us immediately of any unauthorized access.
  • Compliance: Use the Services in compliance with all applicable laws, including data protection and education regulations.
  • Proper Use: Not use the Services for any unlawful, harmful, or unauthorized purpose.
  • User Management: Properly manage user access and remove access for individuals who no longer require it.
  • Backup: Maintain your own backups of critical data as a precautionary measure.

4. Subscription and Payment

  • Subscription Plans: Services are offered on monthly or annual subscription basis as per the pricing displayed on our website.
  • Payment: Payments are due in advance and are non-refundable except as specified in our Refund Policy.
  • Price Changes: We reserve the right to modify pricing with 30 days advance notice. Price changes will apply to the next renewal period.
  • Taxes: All fees are exclusive of applicable taxes (GST), which will be added to invoices.
  • Late Payment: Accounts with overdue payments may be suspended until outstanding amounts are cleared.

5. Prohibited Activities

You agree NOT to:

  • Attempt to gain unauthorized access to any part of the Services or other systems.
  • Reverse engineer, decompile, or attempt to extract source code from the platform.
  • Use automated systems or bots to access the Services without authorization.
  • Upload malicious code, viruses, or harmful content.
  • Share account credentials with unauthorized individuals.
  • Use the Services to transmit spam, harassment, or illegal content.
  • Interfere with or disrupt the integrity of the Services.
  • Violate the intellectual property rights of the Company or third parties.

6. Intellectual Property

School Orbit, including its software, design, features, content, and documentation, is the exclusive property of ClickMaker IT Solutions LLP and is protected by intellectual property laws. You may not:

  • Copy, modify, or create derivative works of the platform.
  • Use our trademarks, logos, or branding without written permission.
  • Remove or alter any proprietary notices or labels.

You retain ownership of all data you input into the system. We claim no ownership over your institutional data.

7. Service Availability

We strive to maintain 99.9% service uptime. However, we do not guarantee uninterrupted access and are not liable for:

  • Scheduled maintenance (notified in advance when possible).
  • Interruptions due to circumstances beyond our control (force majeure).
  • Issues arising from your equipment, network, or third-party services.

8. Termination

By You: You may cancel your subscription at any time. Access continues until the end of the current billing period.

By Us: We may suspend or terminate your access if you:

  • Violate these Terms.
  • Fail to pay applicable fees.
  • Engage in prohibited activities.
  • Use the Services in a manner that harms us or other users.

Upon termination, you may request export of your data within 30 days. After this period, data may be permanently deleted.

9. Limitation of Liability

To the maximum extent permitted by law, ClickMaker IT Solutions shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, data, or business opportunities.
  • Damages arising from unauthorized access to your account.
  • Service interruptions or data loss beyond our reasonable control.

Our total liability shall not exceed the amount paid by you for the Services in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless ClickMaker IT Solutions, its officers, employees, and partners from any claims, damages, losses, or expenses arising from:

  • Your use or misuse of the Services.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Data entered by you or your authorized users.

11. Dispute Resolution

Any disputes arising from these Terms or use of the Services shall be:

  • First attempted to be resolved through good-faith negotiation.
  • Subject to the exclusive jurisdiction of the courts of Chandigarh, India.
  • Governed by the laws of India.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or in-app notification at least 30 days before they become effective. Continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

13. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our written consent.
